About these terms
These terms apply to the Control Shift website and services. A project proposal or separate agreement will provide the specific details for paid work.
Services
Control Shift provides software design and development, websites, web and mobile applications, systems integration, workflow automation, practical AI integration, and ongoing software support. The exact work for a project is set out in its proposal or written agreement.
Scope and timing
Each project begins with an agreed scope, deliverables, timing and responsibilities. Changes to the scope may affect the price or schedule and will be discussed before the additional work proceeds. Timelines also depend on timely access to the information, feedback and approvals needed from the client.
Payment
Deposits, payment stages and due dates are stated in the project proposal. A deposit may be required before work begins, overdue payments may pause the work, and final deliverables may be held until full payment is received. Deposits are not refundable once the related work has begun unless the written agreement says otherwise.
Intellectual property
Once full payment is received, the client owns the custom code and design work created specifically for the project, subject to the project agreement. Third-party software, fonts, images, services and other licensed materials remain subject to their own licences. Control Shift may show completed work in its portfolio unless agreed otherwise in writing.
Third-party services
Projects may depend on hosting, APIs, payment services, software libraries or other third-party products. Their availability, pricing and terms are controlled by their providers. Control Shift is not responsible for an outage or change outside its reasonable control, but will take reasonable care when selecting and integrating these services.
Skill, care and limitations
Services are provided with reasonable skill and care. Specific business, search, revenue, performance or AI outcomes cannot be guaranteed. To the extent permitted by law, liability arising from a project is limited to the amount paid for that project. Nothing in these terms excludes rights or remedies that cannot lawfully be excluded under Australian law.
Governing law
These terms are governed by the laws of Tasmania, Australia. Any project proposal or separate written agreement takes priority where it contains terms specific to that engagement.
